The Licensee is not entitled to an interest in the Real Property or Ownership and Operating Documents and is not liable for any obligations or obligations arising from the title and operating documents or from the acquisition or operation of the Real Property, except as provided for in subsections 2.5 (a) (iii) and 2.5 (a) (vi). In general, there are no restrictions on forum selection clauses. An exception may be membership contracts (i.e. a “take it or leave it” agreement) for which there is a very different bargaining power from one party to another. If a valid and enforceable license agreement is declared irrevocable, neither party may terminate it without the agreement of the other party. If a license does not contain a termination provision, which is unusual, those licenses can usually be terminated within a reasonable period of time.
